Tax-exempt treatment requires approval and documentation acceptable for the transaction and jurisdiction.

Shipping estimates are estimates unless expressly stated as guaranteed. Delivery can be affected by carrier operations, address issues, weather, supply constraints, regulatory review, and events outside reasonable control. When applicable law requires notice or customer consent for a shipping delay, cancellation, or refund, we will provide the required options. Tracking information is informational and may depend on carrier data.

All sales are final. Orders may be cancelled before shipment, and returns may be considered only under special circumstances after the customer contacts us for review. We may deny a request that falls outside the applicable policy, involves an excluded item, or cannot be verified, except where law requires otherwise. Approved refunds are issued through the applicable payment or account process.

Custom, private-label, specially produced, temperature-sensitive, opened, used, altered, expired, or otherwise non-resalable products may be final sale or subject to additional restrictions unless otherwise agreed in writing or required by law. Products must be purchased, handled, stored, and used only for lawful purposes and in accordance with applicable labels, documentation, restrictions, and professional requirements. Products identified as Research Use Only are offered exclusively for legitimate laboratory research conducted by qualified professionals in an appropriately controlled setting. By purchasing or accepting a Research Use Only product, you represent that you are authorized and qualified to obtain it, that suitable facilities and handling controls are in place, and that the product will be stored, handled, used, transferred, and disposed of in accordance with its documentation and all applicable laws, regulations, and institutional requirements. You may not relabel, market, resell, distribute, or otherwise divert the product for an unapproved use. We may request additional verification or refuse, hold, or cancel an order when intended use, qualifications, destination, or legal compliance cannot be reasonably confirmed.

Promotional offers, credits, and coupon codes are subject to their stated eligibility, duration, exclusions, and limits and may not be combined unless allowed. Reviews and feedback must reflect honest experience and may not be fraudulent, manipulated, unlawful, or infringing. Affiliate links or codes may result in commission under a separate Affiliate Program Agreement without increasing the customer price unless clearly disclosed otherwise.

The website, branding, text, graphics, product media, software, and other content are owned by or licensed to the company and are protected by applicable intellectual-property laws. You may use the website for its intended business and shopping purposes. No content may be copied, modified, distributed, scraped, republished, or commercially exploited without permission, except as allowed by law or an applicable written agreement.

For a direct claim relating to an order, aggregate liability will not exceed the amount paid for the product or service giving rise to the claim. These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

To the extent permitted by law, you agree to defend and indemnify the company from third-party claims, damages, and reasonable costs arising from your unlawful use of the website or products, violation of these terms, infringement of third-party rights, or inaccurate representation that you were authorized to act for an organization. This provision does not apply to the extent a claim results from the company's own unlawful conduct.

Neither party is responsible for delay or failure caused by events beyond reasonable control, including carrier disruption, natural disaster, labor interruption, utility or network failure, government action, supply interruption, or similar events, except for payment obligations already due and rights or remedies that applicable law does not permit the parties to waive.

We may suspend or terminate account or website access for security risk, fraud, unlawful activity, repeated policy violations, or material breach. Termination does not eliminate payment obligations, order records, accrued rights, or provisions that by their nature should survive, including intellectual-property, disclaimer, liability, indemnification, and recordkeeping provisions.

We may update these terms by posting a new named version. Changes apply prospectively unless law permits and the notice states otherwise. If a provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision once is not a waiver of the right to enforce it later.
